Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Tokun, a metered, OpenAI-compatible API gateway and web console that routes large language model (LLM) requests to upstream inference providers (the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, creating an account, purchasing credits, or making API requests through Tokun, you agree to be bound by these Terms and by any policies referenced here. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Tokun provides a unified, OpenAI-compatible API and an accompanying web console that let you send LLM requests which Tokun forwards to one or more upstream model and inference providers, returning their responses to you. Tokun meters usage and bills it against prepaid credits.

The Service is offered on a beta basis. Features, supported models, routing behavior, pricing, rate limits, and availability may change, be added, or be removed at any time, with or without notice. We may impose new or different limits on the Service at our discretion.

3. Accounts and Eligibility

To use the Service you must create an account using the sign-in methods we provide (for example, an email magic link or a supported single sign-on provider). You are responsible for the accuracy of the information associated with your account and for all activity that occurs under it.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. The Service is not directed to children, and you may not use it if you are under 13.

You are responsible for maintaining the confidentiality of your account credentials and for promptly notifying us of any unauthorized access.

4. Prepaid Credits and Billing

The Service operates on a prepaid-credit model. You purchase credits in advance, and usage of the Service draws down your credit balance based on metered consumption (for example, the number of input and output tokens processed, the model used, and any applicable multipliers or fees).

Payments are processed by our third-party payment processor, Stripe. By purchasing credits, you agree to Stripe’s applicable terms. We do not store full payment card numbers; card data is handled by Stripe.

Pricing, per-model rates, multipliers, and fees may change at any time during the beta. Changes apply to usage and purchases made after the change takes effect; they do not retroactively re-price prior usage. Your effective cost for a given request depends on the rates in effect at the time of that request.

Except where required by applicable law, purchased credits are non-transferable and have no cash value. Credits are intended for use within the Service.

Refunds are not guaranteed and are handled at our discretion, except where required by applicable law. If you believe you were billed in error, contact us at support@tokun.sh and we will review the request in good faith.

You are responsible for any taxes associated with your purchases, other than taxes based on our net income.

5. Acceptable Use

You agree not to use the Service to:

  • engage in or facilitate any illegal activity, or to generate, distribute, or store unlawful content;
  • infringe the intellectual-property, privacy, or other rights of any party;
  • abuse, overload, probe, or circumvent the Service’s rate limits, quotas, metering, billing, or security controls;
  • attempt to gain unauthorized access to the Service, other accounts, or our or our providers’ systems;
  • generate content prohibited by the policies of the upstream model or inference providers that fulfill your requests; you are responsible for complying with those providers’ usage policies;
  • resell, sublicense, or provide the Service to third parties as a standalone offering without our prior written permission.

We may investigate suspected violations and take action, including limiting, suspending, or terminating access. You are responsible for the content of the prompts you submit and the use you make of the outputs you receive.

6. API Keys and Security

API keys issued to you authenticate requests and draw down your credit balance. You are responsible for keeping your API keys secret and secure. Treat them like passwords: do not embed them in client-side code, public repositories, or otherwise expose them.

You are responsible for all usage and charges incurred through your API keys, including usage resulting from keys that are lost, shared, or compromised. If you believe a key has been compromised, revoke it and issue a new one promptly, and contact us if you need assistance.

7. Service Availability and Beta Disclaimer

The Service is provided on a beta, “as available” basis. We do not offer any service-level agreement, uptime commitment, or guarantee of availability, performance, latency, or routing during the beta period.

The Service depends on third-party model and inference providers whose availability, performance, and behavior are outside our control. Upstream outages, rate limits, model deprecations, or changes may affect the Service. We may modify, suspend, or discontinue any part of the Service at any time.

8. Customer Content and Outputs

“Inputs” are the prompts and other content you submit to the Service; “Outputs” are the responses returned to you. As between you and Tokun, you retain your rights in your Inputs, and, to the extent permitted by the applicable upstream providers, you may use Outputs subject to these Terms and those providers’ terms.

You are responsible for your Inputs and Outputs and for ensuring you have the rights necessary to submit your Inputs and to use the Outputs. Outputs are generated by machine-learning models, may be inaccurate or incomplete, and should not be relied upon as a sole basis for decisions. You are responsible for evaluating Outputs for your use case.

You grant us the limited rights necessary to operate the Service, including transmitting your Inputs to upstream providers to fulfill your requests and processing request metadata for metering, billing, security, and analytics.

9. Intellectual Property

The Service, including its software, the console, documentation, and associated trademarks and branding, is owned by Tokun and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, no rights are granted by implication or otherwise.

You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by applicable law.

10. Third-Party Services

The Service integrates third-party services, including the payment processor (Stripe) and upstream model and inference providers. Your use of those services through Tokun may be subject to their respective terms and policies. We are not responsible for third-party services and do not control their content, availability, or practices.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that Outputs will be accurate or reliable, or that defects will be corrected. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TOKUN OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR CREDITS IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Tokun and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Inputs, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required to protect the Service or other users, or if required by law. You may stop using the Service at any time.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including billing for prior usage, intellectual property, disclaimers, limitation of liability, and indemnification) will survive. Treatment of any remaining credit balance on termination will be handled in accordance with applicable law and our then-current refund practices.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of [Governing jurisdiction — to be finalized], without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in [Governing jurisdiction — to be finalized] for any such dispute, to the extent permitted by applicable law.
